4. Services and Subscriptions

Our Services include a range of voice AI tools and solutions, which may be offered for free or through various subscription plans. The specific features and limitations of each plan will be described on our website or in separate agreements.

We may change, suspend, or discontinue any aspect of our Services at any time, including the availability of any feature, database, or content. We may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability.

Subscription services are billed in advance on a recurring basis depending on the billing cycle you select. Unless you cancel your subscription before the end of the applicable billing cycle, we will automatically renew your subscription and charge you for the next billing cycle.

5. Payments and Billing

By providing a payment method, you authorize us to charge you for all fees associated with your subscription or purchases. If your payment cannot be completed, we may suspend or terminate your access to the Services.

All fees are exclusive of taxes, levies, or duties imposed by taxing authorities, and you are responsible for payment of all such taxes, levies, or duties.

You can cancel your subscription at any time, but you will not receive a refund for the current billing cycle. Upon cancellation, your access to the subscribed Services will continue until the end of the current billing period.

6. User Content

Our Services may allow you to upload, submit, store, send, or receive content, including but not limited to text, audio files, and other materials (collectively, "User Content"). You retain ownership of any intellectual property rights that you hold in that User Content.

By uploading, submitting, storing, sending, or receiving User Content to or through our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly perform, publicly display and distribute such User Content for the limited purpose of providing and improving our Services.

You are solely responsible for your User Content and the consequences of uploading or publishing it. We do not endorse any User Content or any opinion, recommendation, or advice expressed therein, and we expressly disclaim any and all liability in connection with User Content.

7. Acceptable Use

You agree not to misuse our Services. For example, you must not, and must not attempt to:

Our Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Neural Voice, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms do not grant you any right, title, or interest in the Services, others' content in the Services, Neural Voice trademarks, logos and other brand features.

We welcome feedback, comments, and suggestions for improvements to the Services ("Feedback"). You grant to us a non-exclusive, transferable, worldwide, perpetual, irrevocable, fully-paid, royalty-free license, with the right to sublicense, under any and all intellectual property rights that you own or control to use, copy, modify, create derivative works based upon and otherwise exploit the Feedback for any purpose.

9. Disclaimer of Warranties

Your use of our Services is at your sole risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, we expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranty that the Services will meet your requirements, be available on an uninterrupted, secure, or error-free basis, or that the results that may be obtained from the use of the Services will be accurate or reliable.

Any material downloaded or otherwise obtained through the use of the Services is done at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall Neural Voice, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims exceed the amount paid by you, if any, for accessing our Services during the twelve (12) months preceding your claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Neural Voice, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Services
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your User Content caused damage to a third party

This defense and indemnification obligation will survive these Terms and your use of the Services.

12. Termination

We may terminate or suspend your access to all or part of our Services, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the courts of England and Wales, which shall have exclusive jurisdiction.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on our website, updating the "Effective Date" at the top of these Terms, or by sending you an email.

Your continued use of our Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new terms, you must stop using the Services.

15. Miscellaneous

These Terms constitute the entire agreement between you and Neural Voice regarding our Services, and supersede and replace any prior agreements we might have had between us regarding the Services.

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
